GORILLA WAREHOUSE SERVICE CONTRACT
This agreement covers the services of a gorilla warehouse and the company's relations with buyers.
1. DEFINITIONS
For the purposes of this Convention, the following words and expressions have the following meanings, except as provided for in the Convention:
About other:
Warehouse: The premises of a gorilla warehouse specially equipped for storage in warehouse.
Product: The product(s) that the buyer delivers to the Gorilla Warehouse for storage in the company's warehouse and the buyer.
Acceptance Certificate: A certificate/"packing list" delivered by the buyer to the Gorilla Warehouse stating essential product details, including but not an exhaustive count; item number, bar code, name, type, value, quantity, weight, characteristics (including in the case of dangerous goods), and other items listed in the Gorilla Warehouse General Terms.
General Conditions: Are terms attached to this Agreement which constitute an integral part of this Agreement. Tariff: Is the price list of Gorilla Warehouse as it is at any given time and approved by the buyer for his part and
the conditions attached thereto, including any amendments thereto.
2. PRODUCTS
Gorilla Warehouse provides services (including warehousing, handling and distribution) for buyers of buyers' goods in the quantity requested by the buyer at any given time. Gorilla Warehouse is committed to the utmost safety to ensure that the buyer's products are deteriorated or damaged. This agreement further specifies the conditions and obligations that gorilla Warehouse, on the one hand, and the buyer, on the other hand, assume under this agreement. The parties to this agreement agree and are informed that the quantity of the buyer's product in storage at Gorilla Warehouse varies.
3. ACCEPTANCE CERTIFICATE
The Buyer sends the certificate of receipt by e-mail to Gorilla Warehouse, cf. the provisions of 9.gr of this Agreement. The publication of the acceptance certificate is deemed to be satisfactory by e-mail and Gorilla Warehouse undertakes to confirm receipt of the certificate of receipt as soon as possible.
4. PAYMENTS
The contractor shall pay Gorilla Warehouse according to the company's price list and according to posted invoices.
Payments for the company's services depend on the price list of Gorilla Warehouse as it is at any given time. Gorilla Warehouse reserves the right to change the price list but shall notify the buyer within a reasonable time before the new price list or price list changes take effect. Changes to the price list will take effect on the 1st of next month.
Gorilla Warehouse sends payment slips to the buyer's home bank.
5. LIABILITY AND INSURANCE
Liability and insurance depend on the general terms and conditions of the gorilla warehouse as they are at any given time. General Terms and Conditions gorilla Warehouse are attached to this Agreement. It is recommended that the buyer should insure his products and possible consequential damage caused by damaged goods. Gorilla Warehouse is not responsible for the buyer's products while they are in storage by the company, cf. 4 clauses of the company's terms and conditions.
6. NON-COMPLIANCE
Non-compliance depends on the general terms of gorilla warehouses as they are at any given time.
7. CONFIDENTIAL INFORMATION
The subject matter of this Agreement shall remain confidential between the parties. The parties agree not to disclose information on its contents unless provided for by law or the parties agree to provide the information, unless otherwise provided in this Agreement.
8. SPECIAL DUTY OF CONFIDENTIALITY OF GORILLA WAREHOUSE
The management and employees of Gorilla Warehouse observe the utmost confidentiality of anything that the company becomes aware of regarding the buyer, its operations and customers and may harm the interests of these parties. For the purposes of its operations, Górilla Vörhús handles information, documents, financial information and other documents that the company may have access to in connection with its services to the buyer with the utmost confidentiality. This confidentiality shall continue to apply notwithstanding the termination of this Agreement.
Gorilla Warehouse shall limit employees' access to information to those employees who are required to be granted access to information in order for a gorilla warehouse to fulfil its obligations under this Agreement.
9. DURATION AND TERMINATION OF THE AGREEMENT
This Agreement is valid from its signature until it is truly terminated by another party, as set out in the General Terms. Truly this means e-mail to the other person. No notice period shall apply for the first three months of service. After three months, the 3-month notice period shall take effect and shall be based on the 1st of each month.

This Agreement is cancellable in accordance with the provisions set out in the Company's General Terms.
10. DEFENSE ET AL.
In the event of a dispute about the substance of this agreement or the fulfilment of this agreement, that dispute shall be resolved before Reykjavík District Court.

GENERAL CONDITIONS
The following terms apply to all Gorilla warehouse services:
Warehousing and dispatch, contract for transportation of goods and distribution of goods. The terms below shall apply as appropriate from time to time, provided that nothing else is expressly agreed. With respect to the buyer, the obligations, responsibilities and rights of Gorilla Warehouse and Buyer are limited to the rules set out below. About the relationship between Gorilla Warehouses and buyers refer to an agreement between the parties.
1.0 Acceptance certificate
When delivering goods to a warehouse, the buyer shall issue a packing list to the Gorilla Warehouse listing the goods and quantities of goods received. This information is verified by warehouse personnel.
1.1 The buyer shall deliver goods in clearly labelled packaging together with a clear acceptance certificate to ensure that all information is correct.
2.0 Buyer reporting obligations
When a product is delivered to a warehouse, the customer shall be responsible for ensuring that all necessary information on product storage and handling is clearly indicated, i.e. where a product requires special storage or storage procedures, or other information requires special handling. If the customer does not specifically state a request for special handling of the product, the product will be placed in storage which is most convenient to the outer packaging such as weight, size, etc.
3.0 Dangerous goods/products
The buyer shall inform the Gorilla Warehouse if the product contains dangerous substances, flammable, etc., or otherwise requires special handling. Gorilla Warehouse reserves the right to dispose of goods without warning that constitute a hazard, has caused damage to other products or is unfit for storage, provided that the buyer has previously been informed of the disposal of the product by Gorilla Warehouse. The Buyer is liable for payment of damages for damage to persons and/or goods and other costs, such as the disposal of goods, which Gorilla Warehouse suffers as a result of failure to disclose the buyer's obligations under this Article.
4.0 Compensation basis
Gorilla Warehouse is not responsible for damage, disappearance or deterioration of a product while it is in the possession of the Company. Gorilla A warehouse is not liable for damage caused to the buyer's product in the course of performing a task on his behalf, such as picking, transporting, loading, unloading or delivery, or if an order processing error is made. The buyer shall insure himself for all possible losses, with a recognised insurance company, while the product is in the storage of Gorilla Warehouse, including consequential losses such as, but not exhaustively, lost market share, loss of mark-up or damage due to delay. Gorilla Warehouse reiterates this provision and the provisions of Article 5 of an agreement signed by the buyer and Gorilla Warehouse.
4.1 If an error in the handling of an order can be attributed to the staff of Gorilla Warehouse and an order has to be returned, the company covers those shipping costs.
4.2 The company encourages buyers to acquaint themselves with the insurance and liability of the carrier used at any given time.
5.0 Limitation of liability
The buyer shall insure himself against possible damages, through special insurance from a recognised insurance company, which the customer has to pay to a third party or has suffered injury himself while the goods are in storage at a gorilla warehouse.
6.0 Irresponsible grounds
Gorilla Warehouse shall not be liable for damage arising from the reasons set out below and for similar reasons for which the buyer is required to insure, and this list is not exhaustive:
6.1 Fire, water damage or theft, cf. the provisions of Article 11.0 on insurance. 6.2 Mistakes or negligence of the buyer or parties acting on his behalf.
6.3 Handling, loading, loading, or unloading of goods carried out by the Buyer or persons acting on his behalf.
6.4 Incorrect or incomplete information or labelling of a product.
6.5 Serious unforeseeable events (force majerure), such as war, radioactivity, riots, strikes, earthquakes, volcanic eruptions or other natural disasters and the like
7.0 Buyer's responsibilities and obligations
When and if customs authorities or other official bodies have given specific instructions on labelling, packaging, customs declaration, etc. concerning certain goods, the buyer is obliged to ensure that these instructions are complied with. Furthermore, the buyer is obliged to compensate the Gorilla Warehouse for any damage that may be attributed to the reasons listed below but is not an exhaustive count:
7.1 The product information was incorrect and/or incomplete. 7.2 Product packaging and/or labelling was inadequate.
7.3 A product had harmful properties that were not reasonably expected to be realised by a gorilla warehouse.
7.4 A gorilla warehouse is obliged without fault under these Terms to pay customs duties, other public charges, or be ordered to make good damages to third parties.
8.0 Buyer reporting requirements
The Buyer shall notify Gorilla Warehouse immediately upon receipt of any damage or deterioration of the goods, provided that this is visible, otherwise the Buyer shall submit a complaint to Gorilla Warehouse within 14 days of receipt of the goods. If the customer fails to fulfil this obligation, the goods shall be deemed to have been undamaged upon delivery to the buyer.
9.0 End of Gorilla Warehouse Custody Responsibility
When Gorilla Warehouse handles freight forwarding for the benefit of the buyer, cf. the provisions of Article 13, the custody responsibility of Gorilla Warehouse ends when the goods are delivered to the customer or distributor for transport.
In other cases, the Gorilla Warehouse escrow liability ends when:
9.1 The Buyer or person(s) acting on his behalf signs for receipt of goods.
9.2 Gorilla Warehouse has delivered goods at the location specified by the Buyer. 9.3 When the contract is terminated and termination takes effect.
10.0 Insurance services
All goods delivered for storage in gorilla territory Warehouses shall be insured by the buyer against fire, water damage and theft and damage in general. This insurance shall cover the value of goods as stated in the certificate of acceptance in accordance with the provisions of Article 1.0, as well as import duties and excise duties, if applicable, pursuant to the Customs Act No. 55/1987 and the Excise Duty Act No. 97/1987. Gorilla Warehouse may at any time while the product is in the company's territory request information as to whether an insurance policy is still valid.
11.0 Expiry
All claims arising against a gorilla Warehouse shall expire within one year from the date on:
11.1 The Buyer or persons acting on his behalf sign for receipt of goods at the Gorilla Warehouse warehouse.
11.2 Gorilla Warehouse delivers goods to the carrier for transportation, cf. the provisions of Article 9. 11.3 Gorilla Warehouse delivers goods cf. clauses 9.2 and 12.gr.
11.4 The contract terminates before termination cf. the provisions of Article 9.3.
12.0 Freight forwarding – distribution of goods
Gorilla Warehouse registers shipments in freight forwarding or distribution with its partners upon request from the buyer. In the absence of a requirement for a specific mode of transport, the Gorilla Warehouse may choose the mode of transport that is most suitable and reasonable from time to time for comparable products.
When Gorilla Warehouse handles product distribution for the buyer, Gorilla Warehouse acts against the carrier as the buyer's agent.
13.0 Lien
If the buyer does not pay the storage costs of goods, transportation costs, import duties, insurance premiums or other verifiable costs incurred by the Gorilla Warehouse in the care or administration of goods, the Gorilla Warehouse shall have a lien on the buyer's products as security for those costs. Gorilla Warehouse reserves the right to dispose of goods or sell for the above costs. Before exercising its rights under this Article, the Company shall send the buyer a written notice stating that the product will be sold for accrued expenses after 15 days, from the date of notification, if the company's claim is not paid.
14.0 Non-compliance remedies
Gorilla Warehouse may terminate the contract between the parties without notice. Notification to this effect shall be sent to the buyer by e-mail.
15.0 Defence Assembly
Cases arising out of these terms and agreements on these settlements shall be brought before the District Court of Reykjavík.
16.0 Disclaimer
Gorilla Warehouse reserves the right to modify and/or supplement these General Terms. If changes are made to these General Terms, the Gorilla Warehouse shall notify the Contracting Party of the changes within a reasonable time.
